China Century Capitl Proposed Acuquisition of Jinji Resources

Sydney, 26 July 2011: China Century Capital Limited (ASX Code: CCY) (“the Company”)todayannounced an in principal agreement to acquire 100% of Jinji Resources Pty Limited (“Jinji).

Jinji Resources Pty Limited is an unlisted company based in Sydney, which focuses oninvestments in the Australian resources sector as well as financial sectors in Australia and Asia.The agreed purchase price for all the shares in Jinji is A$11 million and will be fully paid by theissue of shares in CCY to the shareholders of Jinji. Jinji’s current net cash and listed investmentsare approximately A$7.5 million. An independent expert’s report has been commissioned andwill accompany the notice of meeting to approve the transaction. The Directors believe that withthis acquisition, the Company will be in a much stronger position in identifying and funding newinvestment opportunities.

Jinji’s investment portfolio includes significant stakes in both Kimberley Metals Limited (ASXCode: KBL) and Kidman Resources Limited (ASX Code: KDR). These 2 companies haveperformed great in the past 12 months, and we are expecting a further growth as they startproduction. Jinji also has significant investments in Litigation Lending in Australia, and we areexpecting further cash returns from several cases, which are due to be settled in the next 6-12months. A Micro finance business in Cambodia is also growing fast, and there are also goodpotential returns for that investment.The Directors of CCY believe that the combined balance sheet will be much stronger and hugelybeneficial for the shareholders. This includes all assets in Jinji and CCY. Following the issue ofthe new shares for the acquisition, the Company will have 433,068,382 million shares on issue.The shares will be issued at approximately $0.055 per share.
